The successful candidate will have 8+ years of experience negotiating SaaS and software license agreements, strong work ethic, and ability to form relationships with internal clients. With a focus on data protection laws and commercial acumen, the ideal candidate will be able to distill complex issues and prioritize urgent matters. Description of Duties

Grafana Labs is seeking an EMEA-qualified and EMEA-based Commercial Counsel to join our dedicated, collaborative, and fast-growing legal team. The primary responsibility of the Commercial Counsel will be to support Grafana Labs’ EMEA-based sales team negotiating B2B commercial agreements with assistance on U.S. transactions, as needed. This role will also support broader legal and cross-functional initiatives and matters as set forth below. The successful candidate will be a creative and analytical thinker who is highly detail oriented and embraces a business-oriented approach, with the ability to think strategically and establish a trusted advisor relationship with internal stakeholders. 

Responsibilities 

  • Manage and negotiate a variety of B2B commercial agreements across the sales and procurement functions, including NDAs, SaaS and on-prem software agreements and related documents, such as security addendums, DPAs, and other agreements addressing regulatory requirements (DORA), as well as channel partner and other commercial and technology related agreements. 
  • Advise and provide guidance on EMEA specific laws (including those related to SaaS and data privacy) related to B2B commercial agreements. 
  • Take a practical, creative and proactive problem-solving approach to efficiently negotiate and finalize commercial agreements while advising business leaders on acceptable risk.
  • Occasionally consult with outside counsel on complex deals, as needed.
  • Collaborate cross-functionally on legal, regulatory, and corporate matters, such as company policies, data protection and privacy, revenue recognition, and other compliance and operational matters.
  • Partner with cross-functional business teams, such as finance, support, and security to efficiently resolve commercial and operational matters, including the launch of new go-to-market structures and programs / other projects as required.
  • Assist in creating and improving form agreements and playbooks, as needed.
  • Contribute to the development of workflows and processes needed to efficiently scale the legal function, such as those related to the tracking of contractual obligations in final commercial agreements.
  • Create and present training materials to business teams on a variety of issues, including, legal best practices and current legal/regulatory issues, as required. 

Qualifications (Must haves)

  • EMEA-qualified lawyer in good standing in at least one EMEA jurisdiction (preferably located in one of the following countries: UK, Germany, Spain, Netherlands or Sweden), with common law experience required
  • 8+ years of experience as a practicing attorney with a minimum of 5+ years negotiating B2B SaaS and software license agreements, vendor/ supplier contracts and other commercial and technology related agreements
  • Significant experience with Data Protection Laws, including negotiating DPAs
  • Strong work ethic with the ability to work independently with minimal supervision but also within a team
  • Ability to form and maintain strong relationships with internal clients, with a proven track record of a high level of client service and satisfaction
  • Experience with a high-volume “caseload” with the ability to distill and prioritize complex and urgent commercial legal matters 
  • Sound commercial acumen and with ability to recognize and balance risk appropriately
  • Strong communication, negotiation, and presentation skills
  • Experience with open-source licensing is a plus
  • English fluency required, and a second European language is preferred

In the Netherlands, the OTE compensation range for this role is EUR 115,000 - EUR 140,000.  Actual compensation may vary based on level, experience, and skillset as assessed in the interview process. Benefits include equity, bonus (if applicable), and other benefits listed on our careers page.
