Job Description
Key Responsibilities:
- Manage and coordinate board meetings, audit committee, management committee, risk management committee and other governance committee, including scheduling, preparing agendas, minutes, and resolutions, ensuring clear communication between shareholders.
- Oversee statutory filings, corporate records, and regulatory submissions in compliance with Thai laws and international best practices.
- Draft and review corporate documents and reports in both Thai and English with exceptional accuracy.
- Maintain strict confidentiality and ensure smooth internal and external communication across stakeholders.
- Proactively identify and resolve governance challenges in a fast-paced, high-growth environment.
- Take on additional responsibilities beyond the traditional company secretary role when needed, contributing to the company's long-term success.
Qualifications:
- Bachelor’s or Master’s degree in Law, Business Administration, or a related field.
- Minimum of 5 years of experience as a company secretary in a regulated industry, preferably in financial services, technology, or a publicly listed company.
- An in-depth understanding of Thai corporate laws, governance frameworks, and SEC regulations is preferable.
- Exceptional communication and writing skills in both Thai and English to coordinate with internal and external stakeholders.
- Strong ability to manage complex shareholder relationships and work across different cultural backgrounds.
- Highly adaptable, proactive, and able to thrive in a fast-moving, high-pressure environment.
- Detail-oriented with strong problem-solving and critical-thinking skills.
