Paralegal

KoBold Metals

Job Summary

KoBold Metals is a climate tech company that uses AI and machine learning to accelerate mineral exploration and discovery. The mining industry faces significant challenges, including under-investment in new exploration technology and reliance on manual techniques. KoBold has developed innovative solutions, including AI models and novel sensors, to guide decisions and improve efficiency. As a Paralegal at KoBold, you will play a critical role in the legal department, creating and maintaining systems for contracts, confidential information, and due diligence materials. You will work closely with company attorneys, executives, investors, and scientists to support business operations and transactions. The ideal candidate is detail-oriented, collaborative, and highly motivated, with strong organizational and communication skills. KoBold offers a dynamic and global work environment, flexible remote work options, and competitive salary range ($65,000 - $95,000 plus stock options).

About the company

The mining industry has steadily become worse at finding new ore deposits, requiring >10X more capital to make discoveries compared to 30 years ago. The easy-to-find, near-surface deposits have largely been found, and the industry has chronically under-invested in new exploration technology, relying on the manual techniques of yesteryear – even as demand accelerates for copper, lithium, and other metals to build electric vehicles, renewable energy, and data centers.

KoBold builds AI models for mineral exploration and deploys those models—alongside our novel sensors—to guide decisions on KoBold-owned-and-operated exploration programs using a combination of AI and HI (human intelligence). In the six years since founding, KoBold has become by far both the largest independent mineral exploration company and the largest exploration technology developer. Our data scientists and software engineers, who come from leading technology companies, jointly lead exploration programs with our renowned exploration geologists.

KoBold has proven its first discovery with materially less capital than the industry average and found one of the best copper deposits ever discovered: the copper is far more concentrated than the global average of copper mines, and this asset alone is expected to generate meaningful revenue for decades. KoBold has a portfolio of more than 60 other projects, each of which has the potential for another high-quality discovery.

KoBold is privately held; investors include institutional asset managers T. Rowe Price and Canada Pension Plan Investments; technology venture capitalists Andreessen Horowitz, Breakthrough Energy Ventures, BOND Capital, and Standard Investments; and natural resources companies Equinor, BHP, and Mitsubishi.

We are hiring a Paralegal to accelerate our mission. We are looking for a detail-oriented, collaborative, and highly motivated individual who thrives in a fast-moving environment and gets excited about developing processes to improve effectiveness and efficiency.

About the Position

 The Paralegal will:

  • Play an essential role in the legal department at a climate tech company growing rapidly around the world

  • Create and maintain systems to give company attorneys, executives, investors, and scientists well-organized access to and ability to track contracts, confidential information, due diligence materials, other documents, and legal obligations

  • Respond rapidly to questions and requests from the legal, finance, tax and other departments for documents, information, and analysis relating to any of the company’s legal and business functions worldwide

  • Support company attorneys and executives in negotiations with mining companies, tech companies, governments, universities, vendors, and individuals worldwide

  • Work with the company attorneys to create and maintain the records, policies, and systems that position the company for our everyday operations and most significant transactions, including commercial contracts, corporate financings and joint ventures

  • Manage form agreements and draft simple contracts based on templates, including NDAs and vendor agreements

  • Review highly confidential and important due diligence materials for potential transactions and manage confidential data rooms

  • Assist with operationalizing and refining workflows within the legal department

  • Engage with and support the company’s outside counsel around the world (U.S., Finland, Canada, Australia, DRC, Zambia, Namibia) to complete administrative work within the company, saving hundreds of thousands of dollars in outside counsel expense

  • Work with internal stakeholders, inventors, and outside counsel on the company’s patent prosecution by assisting with patent filings, maintaining intellectual property records, and tracking deadlines

  • Work closely with scientists and engineers at the company to ensure compliance with confidentiality and data protection obligations

  • Engage directly with staff at the company’s most important business partners to build relationships, resolve problems, and advance our business

  • Provide leverage and support to the attorneys so that they are more effective at advancing the company’s priorities

  • Work on whatever needs to be done

Qualifications

The candidate must have:

  • A proven record, in academic work and/or employment, of the highest quality work showing commitment, collaboration, and intelligence

  • Strong desire to spend a minimum of 3 years working and learning at an exciting company in preparation for the next steps of a legal career

  • Strong desire and ability to provide leverage, support, and partnership to company’s attorneys

  • Strong desire and ability to develop relationships throughout the company and beyond

  • Strong organizational, leadership, technology and communication skills with great attention to detail - someone who likes to organize and be organized

  • Interest in working in a science-based company where most colleagues are scientists and science is the focus of many company meetings and documents

  • Interest in working in a global company, collaborating among teammates across many time zones and continents while learning many foreign legal systems and business environments

  • Interest in learning and supporting many functions of a corporate legal team, ranging from transactions, compliance, IP/privacy, entity maintenance, and more

  • Strong ability to learn new tools and solve new problems continuously

  • Strong ability to be a leader in the setting a high standard of ethics

  • An optimistic attitude toward work and people

It is not necessary to have experience with mining or mineral exploration; the successful candidate will be able to learn what’s needed about the industry on the job.
